Registering a company where a director or secretary has not consented in writing is a breach of the Corporations Act. When you submit instructions to View, you need to ensure that every director and secretary has provided consent to act in writing and every shareholder has also consented to become a member and agreed to the adoption of the standardised constitution available here.
Whilst the company register documents (containing various consent documents) are only provided after registration, the View Legal instruction sheet is designed to facilitate meeting these Corporations Act obligations.
Importantly, the consents must have a signature applied, even if by way of a mouse or alternatively taking a PDF scan or photo of the signed consents.
While the consents do not get lodged with ASIC, we are aware of multiple situations where ASIC have required immediate production of the physical signed consents.
A failure to produce can give rise to prosecution under the Corporations Act (admittedly we are only aware of one prosecution) for all those involved in the contravention.
